Terms of Service

Version 1.0 · Effective August 2026

Please read these terms before using VendorDSS. By creating an account or using the platform, you agree to be bound by them.

1. Definitions and Interpretation

"QuestFeed", "we", "us", "our"

Means QuestFeed Pty Ltd (ABN 58 632 013 855), an Australian Private Company registered in Queensland. VendorDSS is a product name and brand of QuestFeed Pty Ltd — it is not a separately registered business or trademark. All contractual obligations under these Terms are between the User and QuestFeed Pty Ltd.

"Platform"

Means the VendorDSS application at app.vendordss.com, this website at vendordss.com, and all associated APIs, infrastructure, and services.

"Services"

Means the procurement intelligence services provided through the Platform, including contract award search, open tender listings, grant award search, supplier profiles and the business directory, watchlists and email digests, and regional analysis of contract value.

"User", "you", "your"

Means any individual or entity accessing or using the Platform or Services.

"Public Records"

Means information published by government bodies and official registers, including contract award notices, approaches to market, grant award notices, and business register records, which the Platform collects, resolves, and makes searchable.

"Listing"

Means a business page in the VendorDSS directory, compiled from Public Records and other publicly available information about that business.

"Watchlist"

Means a saved search for which the Platform sends email digests when newly published records match.

2. About VendorDSS

What We Provide

Search across published government contract awards, with the full published record for each award
Open approaches to market, linking to the official notice on the originating register
Government grant awards as a separate corpus with their own money semantics
Supplier profiles resolving a company’s published award history to one identity
A directory of Australian businesses compiled from public records
Watchlists with email digests of newly published matching awards
Regional analysis of published contract value by supplier location

What We Do NOT Provide

Professional procurement, legal, financial, or tendering advice
Any guarantee of tender outcomes, contract wins, or business results
A statement of amounts actually paid under any contract — published values are the values registers publish
Due-diligence conclusions about any business — verify independently before contracting
Official records — the originating register is always the authoritative source
Completeness — we serve what registers publish, and registers differ in scope and timeliness

3. Acceptance of Terms

By accessing or using the Platform, you acknowledge that you:

  • Have read, understood, and agree to be bound by these Terms of Service
  • Have read and agree to our Privacy Policy
  • Are at least 18 years of age or have legal authority to enter these Terms on behalf of an organisation
  • Will use the Platform only for lawful purposes and in accordance with these Terms
  • Have the authority to bind the organisation you represent (if applicable)

Changes to Terms: We may modify these Terms at any time. Material changes will be communicated by email to registered users. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

4. Early Access & Future Pricing

VendorDSS is currently offered as a free early-access preview. During the preview:

  • — All features are provided free of charge, and no payment details are collected.
  • — We may introduce paid plans, and move some or all features behind them, at any time. We will give registered users reasonable advance notice by email before any feature you use becomes paid.
  • — Nothing in the preview creates an entitlement to continued free access, a particular feature set, or a particular service level.
  • — We may change, limit, or withdraw preview features as we finalise the product.

When paid plans are introduced, their prices, inclusions, billing, and refund terms will be added to these Terms (or a referenced pricing page) before any charge is made.

5. Public Records, Listings, Corrections & Removal

a. What the data is

The Platform's content is compiled from Public Records: contract award notices, approaches to market, grant award notices, and business register records published by government bodies. Publication of an award on VendorDSS reflects what the originating register published — it is not an assertion by us about any business beyond that public record, and the originating register remains the authoritative source.

b. Business listings

Directory Listings are compiled from public records and publicly available business information. A Listing does not imply any relationship between the business and VendorDSS, and an unclaimed Listing is clearly presented as compiled from public records. Where profile sections are shown as a preview on an unclaimed Listing, they are explicitly labelled as placeholders and do not represent the business's actual work.

c. Corrections

If information on a Listing or record is inaccurate, contact hello@vendordss.com with the specifics. Where our resolution or presentation caused the error, we will correct it. Where the originating register's publication is the source of the error, we can annotate or suppress our copy, but the register itself must be corrected at its source.

d. Removal requests

A business may request removal of its Listing, its published award history, or both, by emailing hello@vendordss.com from an address reasonably connected to the business (or with other evidence of authority). We review and action legitimate requests promptly, and removal is honoured across every surface of the Platform. Note that removal from VendorDSS does not remove the underlying public record from the government register that published it.

6. Authorised Use & Prohibited Conduct

You must NOT:

  • Attempt to gain unauthorised access to the Platform, its infrastructure, or other users’ data
  • Use automated tools to scrape, crawl, or bulk-extract data from the Platform
  • Resell, sublicense, redistribute, or republish Platform data or outputs as a dataset or competing service without written authorisation
  • Misrepresent VendorDSS content as an official government record or as a due-diligence conclusion
  • Use the Platform to harass, defame, or target any business or individual
  • Circumvent, probe, or test the Platform’s security or access controls
  • Use the Platform in violation of any applicable law

7. Data Accuracy and Limitations

Accuracy Notice

VendorDSS is informational. It resolves and presents what government registers publish; it does not audit those publications. Always verify against the originating register and conduct your own due diligence before making commercial decisions.

  • — A published contract value is the value the register published — typically the contract value at award or amendment. It is not a statement of amounts actually paid.
  • — A grant amount is the approved grant amount at award. It is never a contract value, and the Platform never sums the two.
  • — Registers amend, backdate, and occasionally mis-key their publications; some awards are published without dates or business identifiers. We resolve conservatively and label rather than guess.
  • — Coverage and freshness differ by register and jurisdiction. Absence of a record on VendorDSS does not mean no such contract exists.
  • — Company identity resolution is evidence-based (business register corroboration). Where the evidence is ambiguous, records are deliberately left separate rather than merged.
  • — Regional figures reflect the location suppliers publish, which may be a head office rather than where work is performed.

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by QuestFeed Pty Ltd and protected by applicable intellectual property laws, including:

  • — The VendorDSS name, logo, and branding
  • — Platform design, layout, and user interface
  • — Our data resolution methodology, identity linking, and analysis frameworks

Underlying public data

The underlying government publications remain subject to their publishers' terms and licences. Our claim is to the resolved, organised, and presented form the Platform provides — not to the public records themselves. You may use what you learn on the Platform in your ordinary business; you may not republish the Platform's resolved dataset or use it to build a competing service.

9. Disclaimers and Limitation of Liability

Disclaimer of Warranties

To the maximum extent permitted by law, the Platform and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including:

  • — Implied warranties of merchantability or fitness for a particular purpose
  • — Warranties that the Platform will be uninterrupted, error-free, or free of harmful components
  • — Warranties regarding the accuracy, completeness, or currency of Public Records or our resolution of them

Limitation of Liability

  • — We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill
  • — We are not liable for commercial decisions made in reliance on Platform content, including bid, contracting, or supplier-selection decisions
  • — Our total aggregate liability for all claims shall not exceed the greater of A$100 and the total amount you paid us in the twelve (12) months preceding the claim

Consumer Guarantees

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

10. Additional Terms

a. Your account

You are responsible for the confidentiality of your credentials and for activity under your account. Notify us promptly of any suspected unauthorised use. We may suspend accounts showing signs of compromise or abuse.

b. Confidentiality of your activity

Your searches, watchlists, and account data are treated as confidential and are not disclosed to third parties except: (i) with your consent, (ii) to our service providers under confidentiality obligations, (iii) when required by law, or (iv) in anonymised, aggregated form that cannot be attributed to you.

c. Indemnification

You agree to indemnify and hold harmless QuestFeed Pty Ltd, its officers, directors, and employees from claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misrepresentation of Platform content, or your use of the Services in violation of applicable law.

d. Termination

We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent or unlawful activity, or abuse the Platform. Upon termination, your right to use the Platform ceases. We may retain your data as required by law or our data retention policy.

e. Force Majeure

We are not liable for failure or delay resulting from events beyond our reasonable control, including natural disasters, war, government actions, internet outages, or third-party service failures.

f. Governing Law

These Terms are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia for disputes arising from these Terms.

g. General

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and QuestFeed Pty Ltd regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce a provision is not a waiver of it.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
